Primary Purpose
Assists the University Secretary & General Counsel (the “USGC”) in establishing and maintaining the university’s risk management program, supervising the university’s internal audit program, and ensuring the efficacy of the institutional statutory and regulatory compliance. May also provide services as Assistant Legal Counsel, depending on qualifications.
Key Accountabilities:
1. Working with the USGC, establishes and maintains the university’s risk management program.
- Liaises with members of the Audit Committee of the Board of Governors with respect to operation of the university’s risk management program
- Develops an institutional policy framework for risk management
- Develops guidelines and procedures for the implementation of the university risk management program
- Designs reporting templates for use in the university risk management program
- Supervises the operation of the risk management program in accordance with approved policy
- Prepares and presents reports to the President, Executive Council and the Audit Committee of the Board of Governors on the university’s risk management program
2. Working with the USGC, assists in supervision of the university’s internal audit program.
- Liaises with members of the Audit Committee of the Board of Governors on matters related to the internal audit program
- Assists in the development of the three year rolling internal audit plan
- Manages communication among the internal auditors and management
- Oversees the development of individual internal audit project charters
- Assists in the finalization of internal audit reports and follow up reports
- Assists the SOGC in the development and presentation of reports to the President, Executive Council and the Audit Committee of the Board of Governors on the state of the internal audit program
3. In consultation with the USGC, ensures the efficacy of the university’s statutory and regulatory compliance program.
- Maintains a detailed list of statutory and regulatory obligations of the university, organized by reference to responsible managers
- Updates the list of obligations as statutory and regulatory amendments are enacted
- Develops and implements a communications strategy with responsible managers
- Periodically tests for statutory and regulatory compliance through manager certification
- Manages the assembly of data relevant to the university’s statutory and regulatory compliance program
- Assists the SOGC in developing and presenting periodic reports to the Audit Committee and the Building & Properties Committee of the Board of Governors
4. If the incumbent is also appointed as Assistant Legal Counsel, then the following additional accountabilities will be assigned.
- General legal advisory services to members of the university community
- Preparing and reviewing legal agreements for academic and academic support units
- Providing education to faculty and staff on matters related to the legal environment in which the university operates
- Providing advice on the legal significance of university policy and governance practices
- Supporting the USGC with exemplary skills in legal research and writing, report development and liaison with outside counsel
Position Requirements
Education:
Completion of a bachelor’s degree or professional risk management certification. For appointment as Assistant Legal Counsel as well, an LL.B. or J.D.
Experience:
3-5 years risk management experience, insurance industry experience, and /or legal experience Competencies will include strategic thinking; people management, interpersonal, organizational and communication skills; sophisticated research and writing skills; high ethical standards.

Nature and Scope
Interpersonal Skills:
Internally, communicates with all employees in all groups and departments and at all levels especially front-line managers on internal audit and statutory compliance files, members of Executive Council on risk management matters, members of committees of the Board of Governors as required. If appointed as Assistant Legal Counsel, communicates with managers, directors, and members of Executive Council in providing legal services.
Level of Responsibility:
The position is responsible and accountable to the USGC for the overall results of the risk management program and the statutory compliance program, and for maintaining the efficacy of the internal audit program. If appointed as Assistant Legal Counsel, the position is responsible and accountable to the USGC for each file for which the incumbent is the lead counsel.
Decision-Making Authority:
Limited to the exercise of judgment and discretion consistent with the range of responsibilities and accountabilities outlined above.
Physical and Sensory Demands:
